Certificate of Incorporation

A company's basic organizational document, filed with the secretary of state in the state of incorporation. The certificate generally reflects the name, location, and purpose of a company; the number, classification, rights, and preferences of a company's capital stock; and voting authority of the directors with respect to related party transactions and redemptions. In some states, the certificate of incorporation is referred to as the articles of incorporation.
